Welcome to Habitat Pros. These Terms of Service (“Terms”) govern your access to and use of the Habitat Pros platform, website, and related services (collectively, the “Platform”), operated by Habitat Pros, LLC (“we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements. By using the Platform, you represent that you meet these requirements.

2. Role of Habitat Pros

Habitat Pros is a neutral marketplace. We:

  • Provide a platform for landowners/land managers (“Clients”) to connect with habitat professionals (“Providers”)
  • Do not provide habitat services ourselves
  • Do not guarantee the quality, safety, legality, or performance of any services

3. Accounts and Profiles

To access features of the Platform, you may need to create an account and provide accurate, current information. You are responsible for safeguarding your account credentials.

Users may be asked to complete a land profile or service provider profile as applicable.

4. Verification and Referrals

Service Providers may only join the Platform via referral from a verified habitat consultant. Habitat Pros reserves the right to vet, reject, or remove users at its discretion.

Verified Providers may receive special designation on their profiles, but Habitat Pros does not warrant or guarantee their performance.

5. User Responsibilities

All users agree to:

  • Use the Platform only for lawful purposes
  • Not misrepresent identity, capabilities, or property
  • Not post false, misleading, or harmful content
  • Not use the Platform to circumvent our marketplace (i.e., taking transactions off-platform to avoid fees)

6. Platform Fees and Payments

Habitat Pros may charge fees to Providers or Clients for access to leads, project opportunities, or tools. Fees and billing terms will be posted at the time of transaction or described in a separate agreement.

You authorize Habitat Pros to process payments using third-party payment processors.

7. Content and License

You retain ownership of any content (e.g., photos, descriptions, reviews) you submit to the Platform. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute it in connection with operating and marketing the Platform.

You represent you have the right to share such content and it does not infringe on any third-party rights.

8. Intellectual Property

All Habitat Pros branding, logos, software, and platform content (excluding user-submitted content) are the intellectual property of Habitat Pros, LLC or its licensors. You may not copy, modify, or distribute our content without permission.

9. Disclaimers and Limitation of Liability

The Platform is provided “as is” and “as available”. We make no warranties regarding:

  • The quality or suitability of services offered
  • The accuracy of user information
  • Continuous or secure access to the Platform

To the fullest extent permitted by law, we disclaim liability for:

  • Any damages related to transactions between users
  • Indirect, incidental, or consequential damages
  • Service outages, errors, or interruptions

Your sole remedy for dissatisfaction with the Platform is to stop using it.

10. Indemnification

You agree to indemnify, defend, and hold harmless Habitat Pros, LLC and its affiliates, officers, and employees from any claims, damages, or expenses arising out of:

  • Your use of the Platform
  • Your violation of these Terms
  • Your interaction or contract with another user

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms. You may close your account at any time by contacting us at info@habitatpros.com.

12. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Bay County, Michigan.

13. Changes to the Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date. Continued use of the Platform after changes constitutes your acceptance.
